Terms of Service — CogOps Growth

Version 1.0 · effective 2026-10-22 · a CogOps Group company · back to the site

1. Services

CogOps Growth delivers: (a) lead enrichment — business contact records validated per the published definition (syntax check, domain-quality screen, deduplication against a client-supplied list, public-source provenance with timestamp), optionally with per-recipient outreach copy; (b) programmatic SEO — pages generated from client-supplied data, published and refreshed on a fixed cadence, with sitemap and QA report; (c) media network placements in industry newsletters. All deliverables are produced by software and reviewed by a human before delivery. Regulatory, clinical, financial or legal content is draft work product for review by your qualified personnel; we never act as signatory, representative or person of record for you (§7).

2. Samples and conclusion of contract

Sample batches (25 validated leads) are free, require no payment data and create no continuing obligation. A paid contract is concluded when we confirm your order in writing (email suffices) or begin delivery after your written go-ahead. Quotes are valid 30 days. The published service levels — 48-hour sample turnaround after your approved target definition, replies within 1 business day — are binding commitments.

3. Prices and payment

Prices per the published price list or individual quote, in CHF, excl. VAT where applicable. Invoices are payable net 14 days by Swiss QR-bill (card on request). Late payment accrues statutory default interest (Art. 104 CO) plus reminder fees of CHF 20 (second reminder) and CHF 40 (third). Records reported as rejected are invoiced at CHF 0 and itemized as rejected in the delivery report.

4. Delivery quality and remedies

Replacement guarantee: a delivered record you reasonably demonstrate to be incorrect (wrong person, invalid address, duplicate against your supplied list) is replaced free of charge or credited against your next invoice, at your choice, when reported within 14 days of delivery. For programmatic SEO we warrant generation solely from your supplied data, QA refusal of thin content before publication, and the specified sitemap and refresh cadence; remedy: correction or regeneration within 10 business days, and if correction fails twice, pro-rata refund of the affected cluster fee. Except as stated here, deliverables are provided as is to the extent permitted by law; we do not warrant business outcomes such as reply rates, rankings or revenue.

5. Your obligations

You supply accurate input data and a written target definition, and flag legal restrictions on particular sources before work starts. You are responsible for the lawfulness of your use of delivered records, including your own outreach compliance (unsubscribe handling and applicable e-privacy rules in each recipient's jurisdiction). Resale of raw delivered data as a standalone database is excluded; use within your organization and campaigns is unrestricted.

6. Intellectual property

On full payment you own the delivered records, copy and pages as work product. We retain all rights to the platform, engines, templates, validation logic and know-how, including the right to serve other clients, and retain anonymized, non-attributable process learnings. We may name you as a client reference unless you object in writing at order time.

7. Regulated-domain boundary

Our services are tools, research support and drafts. Nothing in these terms or in any deliverable constitutes financial, legal, tax, regulatory or medical advice, nor a regulated activity: no custody, no portfolio management, no signatory function, no medical-device functionality. Deliverables touching regulated domains carry a mandatory human-of-record field; execution, filing and signing rest with your qualified personnel.

8. Liability

Our aggregate liability per incident and in total is limited to the fees paid or payable by you in the three months preceding the event, except for: intent or gross negligence; bodily harm; product liability under mandatory law; and breaches of §9 causing damage to identified individuals. The replacement guarantee (§4) is a remedy and is not limited by this cap. We are not liable for indirect damages, lost profit, or loss of data you supplied, save intent or gross negligence.

9. Data protection

Where we process personal data on your instructions, the Data Processing Agreement (Art. 28 GDPR / nFADP) applies and prevails over these terms for that processing; it accompanies every contract. For our own interactions (requests, invoices) our privacy notice applies; deletion and objection requests are executed within 30 days.

10. Term and cancellation

Retainers run monthly and are cancelable monthly, effective at the end of the paid period; notice by email suffices. Either party may terminate for material breach not cured within 14 days of written notice. On termination you receive work in progress pro-rata or a refund of prepaid, unearned fees, at your choice.

11. Force majeure

Neither party is liable for performance prevented by events outside reasonable control; fees abate pro-rata for interrupted service periods exceeding 5 business days.

12. Final provisions

Assignment requires written consent; set-off only with undisputed or adjudicated claims. Changes require written form (email suffices); if one clause fails, the remainder stands. Notices go to the addresses in the order confirmation; email notice is effective on transmission. Governing law: Switzerland (conflict-of-laws rules and the UN CISG excluded). Place of jurisdiction: the operator's registered seat in Switzerland (canton published in the imprint upon incorporation), subject to mandatory statutory forums.
